Terms of Service

These Terms of Service (“Terms”) govern your access to and use of RecurMend (“we,” “us,” or “our”), including our website at recurmend.co, dashboard at app.recurmend.co, API, and related services (collectively, the “Service”). By creating an account or using the Service, you (“Merchant,” “you,” or “your”) agree to these Terms.

1. The Service

RecurMend is a payment recovery platform for subscription businesses on Stripe. When a recurring payment fails, we contact your end-customer via branded email with a secure link to update their payment method (and via SMS too, once you complete per-merchant toll-free verification inside your dashboard). We do not retry payments, modify your Stripe billing configuration, or access your end-customers' payment card numbers.

The Service connects to your Stripe account via Stripe Connect (OAuth). You authorize this connection during onboarding and may revoke it at any time from your Stripe dashboard.

2. Eligibility

You must be at least 18 years old and have the authority to bind the entity you represent. You must have an active Stripe account in good standing. We reserve the right to refuse service to anyone for any reason.

3. Account

You are responsible for maintaining the security of your account credentials. You must promptly notify us at [email protected] if you suspect unauthorized access. We are not liable for losses caused by unauthorized use of your account.

4. Fees and Payment

RecurMend charges a flat monthly subscription fee based on your selected plan. Prices are listed on our website and may change with 30 days' notice. We do not take a percentage of recovered revenue — what you recover is 100% yours.

All plans include a 14-day free trial. You provide a payment method at signup; if you do not cancel before the trial ends, your card will be charged automatically. Subscriptions renew automatically at the end of each billing period.

Fees are non-refundable except where required by applicable law. If you believe a charge is incorrect, contact us within 30 days at [email protected].

5. Your Data

You retain ownership of all data you provide or that is collected through your Stripe integration. We access end-customer data (name, email, invoice details) solely to perform the recovery service on your behalf. We act as a data processor under your instruction. Where your end-customers reside in jurisdictions that require a standalone Data Processing Agreement (DPA) — for example, the EU, UK, or California — a DPA is available on request at [email protected].

We do not sell, rent, or share your data or your end-customers' data with third parties except as necessary to provide the Service (e.g., Resend for email delivery, Twilio for SMS). See our Privacy Policy for full details.

Upon account termination, you may request export of your data within 30 days. After that period, we delete your data in accordance with our data retention policy.

6. End-Customer Communications

Recovery emails and SMS are sent on your behalf using your brand identity (or RecurMend's default if you haven't configured custom branding). All SMS sent through the Service is strictly transactional: failed-payment notices, card-update links, and cancellation warnings to your paying subscribers about their subscription with you. You authorize RecurMend to send these messages on your behalf, agree not to use RecurMend for marketing, promotional, or cross-sell SMS, and remain responsible for compliance with applicable anti-spam laws (CAN-SPAM, CASL).

For SMS specifically, your toll-free number is verified per-merchant through Twilio's Compliance Embeddable inside your dashboard. You supply your business identity, opt-in evidence, and a message sample; Twilio and the U.S. carriers review and approve each merchant's number independently. Until that approval lands, SMS sends are suppressed for your workspace.

SMS is never a condition of your end-customer's subscription. Recipients may opt out at any time (reply STOP) without any effect on their subscription, billing, or service level, and may likewise unsubscribe from recovery emails. 7. Measurement and Attribution

RecurMend uses holdout-group methodology to measure incremental recovery lift. A configurable percentage of failed payments are randomly assigned to a control group that receives no outreach. This is a core feature of the Service, not optional — accurate measurement requires a control group.

8. Availability and Support

We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance when possible. The Service depends on third-party infrastructure (Stripe, Resend, Twilio, Railway) whose availability is outside our control.

9. Acceptable Use

You agree not to:

  • Use the Service to send unsolicited marketing communications (recovery outreach to failed-payment customers is transactional, not marketing)
  • Interfere with the Service's infrastructure or attempt to access other merchants' data
  • Resell, sublicense, or white-label the Service without written permission
  • Use the Service for any purpose that violates applicable law

10. Limitation of Liability

To the maximum extent permitted by law, RecurMend's total liability for any claim arising from or related to the Service is limited to the fees you paid in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost revenue, lost profits, or lost data.

RecurMend does not guarantee any specific recovery rate or revenue outcome. Recovery performance depends on factors outside our control, including end-customer behavior, card issuer policies, and the nature of the payment failure.

11. Indemnification

You agree to indemnify and hold harmless RecurMend from any claims, damages, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or regulation.

12. Termination

Either party may terminate at any time. You may cancel your subscription from the billing settings in your dashboard or by emailing [email protected]. Cancellation takes effect at the end of the current billing period — you retain access until then.

We may suspend or terminate your account immediately if you violate these Terms or if your Stripe account is suspended or closed.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email to the address on your account at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles. Any disputes arising from these Terms or the Service will be resolved in the state or federal courts located in Denver, Colorado.
